Partner Program Terms & Conditions

Effective Date : April 17, 2026 · Last updated : April 17, 2026

These Partner Program Terms & Conditions ("Agreement") govern your participation in the Edge Audit Partner Program ("Program"). By registering as a partner, you agree to be bound by this Agreement.

1. Program Overview

Edge Audit offers a revenue-sharing program that allows approved partners ("you" or "Partner") to earn recurring commission by referring new paying customers to Edge Audit ("Company," "we," "us"). The Program is administered via our third-party affiliate management platform, Rewardful.

2. Eligibility

  • You must be 18 years of age or older.
  • You must have a valid PayPal or Wise account capable of receiving international transfers. Payout method is at the Affiliate's discretion.
  • You may not self-refer or attempt to claim commission on your own subscription.
  • Employees, contractors, and immediate family members of Edge Audit are not eligible.

3. Commission Structure

  • Rate: 20% recurring commission on every successful payment made by a referred customer.
  • Duration: Commission is paid for the lifetime of the referred customer's subscription, as long as this Agreement remains in effect.
  • Attribution: Referrals are tracked via a unique affiliate link with a 90-day cookie window. The last-click attribution model applies.
  • Eligible plans: Commission is earned on Pro and Elite plan payments (monthly and annual). Free plan signups do not generate commission until the user upgrades to a paid plan.

4. Commission Earning Date & Refund Period

Commissions are not considered earned until 60 days after the referred customer's payment is processed. This 60-day holding period exists to allow time for refund requests, chargebacks, and fraud review. Any commission arising from a payment that is subsequently refunded, charged back, or reversed within the 60-day window will not be paid and will be deducted from any pending balance. Commissions that have cleared the 60-day period are considered final and eligible for payout at the next regular cycle.

5. Payouts

  • Payouts are processed monthly, typically within the first 10 business days of the calendar month.
  • A minimum balance of $50 USD is required to trigger a payout. Balances below this threshold roll over to the following month.
  • Payments are made via PayPal or bank transfer. You are responsible for any applicable transaction fees charged by your payment provider.
  • Commission earned from referrals who subsequently cancel or receive a refund will be reversed.
  • Edge Audit reserves the right to withhold payment pending fraud review.

6. Prohibited Conduct

You agree NOT to:

  • Use paid search advertising that targets Edge Audit's branded keywords (e.g., "Edge Audit") without prior written approval.
  • Create websites, social profiles, or content that could be mistaken for official Edge Audit properties.
  • Engage in spam, unsolicited email, or any form of misleading marketing.
  • Make false or exaggerated claims about Edge Audit's products or guarantees of profit.
  • Use cookie stuffing, click fraud, or any other method to artificially inflate referral counts.
  • Promote Edge Audit on gambling or illegal content websites.
  • Claim commission on accounts you control, operate, or have a financial interest in.

7. Responsible Gambling Compliance

Edge Audit is a data analytics tool only and does not facilitate gambling. All partner marketing must:

  • Clearly disclose that Edge Audit is an analytics tool, not a gambling operator.
  • Not make claims that using Edge Audit guarantees betting profits.
  • Include responsible gambling messaging if your content is directed at or likely to reach problem gamblers.
  • Comply with all applicable laws and advertising standards in your jurisdiction.

8. Intellectual Property

We grant you a limited, non-exclusive, non-transferable license to use Edge Audit's approved logos, brand assets, and marketing copy solely for the purpose of promoting the Program. You may not alter, distort, or create derivative works from any Edge Audit brand assets without written permission.

9. Disclosure Requirements

You must clearly and conspicuously disclose your partner relationship with Edge Audit in all content where affiliate links are used, in accordance with FTC guidelines (or equivalent regulations in your jurisdiction). Acceptable disclosures include statements such as: "This post contains affiliate links. I may earn a commission if you sign up."

10. Term and Termination

Initial Term.

This Agreement begins on the date the Affiliate is approved and registered, and continues for an initial term of five (5) years ("Initial Term").

Renewal.

Upon expiry of the Initial Term, this Agreement may be renewed for successive five (5) year terms by mutual written confirmation from both parties. Written confirmation via email from an authorized representative is sufficient for renewal. A 30-day grace period applies after each expiry date during which commissions continue and the agreement remains in effect while renewal is being arranged. If renewal is not confirmed within the grace period by either party, the agreement expires. Non-renewal by Edge Audit is treated as termination without cause under the provisions below. Non-renewal by the Affiliate is treated as Affiliate-initiated termination under the provisions below.

Authorized Representatives.

Where the Affiliate is a business entity, the Affiliate must designate a named authorized representative who has authority to act on the entity's behalf under this Agreement. If that representative changes, the Affiliate must notify Edge Audit in writing within 30 days and designate a replacement. Until a new representative is designated and confirmed, the prior representative's authorizations remain binding on the entity.

Termination for Cause.

Edge Audit may immediately terminate this Agreement at any time for violation of any term of this Agreement, fraudulent activity, or conduct that damages our brand or reputation. Upon termination for cause, all future recurring commissions cease immediately. Commissions already earned and cleared through the 60-day holding period will be paid at the next regular payout cycle.

Termination Without Cause by Edge Audit.

Edge Audit may terminate this Agreement without cause at any time with 7 days' written notice. Upon such termination, the Affiliate will continue to receive commissions for 12 months from the effective date of termination on users who were registered paying subscribers at that date. The affiliate link will be deactivated immediately and no new referrals will be eligible for commission during the wind-down period.

Termination by Affiliate.

The Affiliate may terminate this Agreement at any time with 7 days' written notice. Upon Affiliate-initiated termination, all future recurring commissions cease at the effective date of termination. Commissions already earned and cleared through the 60-day holding period will be paid at the next regular payout cycle.

Death or Legal Incapacity.

This Agreement terminates automatically upon the confirmed death or legal incapacity of the Affiliate or, in the case of a business entity, its authorized representative where no replacement has been designated. Edge Audit's obligation to cease commissions takes effect upon receipt of written notification from a family member, executor, legal representative, or equivalent, supported by reasonable documentation such as a death certificate upon request. Commissions paid prior to receipt of such notification are valid and Edge Audit bears no liability for those payments. Any commissions already earned and cleared through the 60-day holding period at the date of notification will be paid as a final settlement. No ongoing commission obligations will apply after that date.

Non-Assignability.

This Agreement is personal to the named Affiliate — whether an individual or a designated business entity — and may not be assigned, transferred, or inherited without the prior written consent of Edge Audit. A change in ownership, control, or key personnel of the Affiliate's business or content channels does not automatically transfer rights under this Agreement. Edge Audit reserves the right to treat any unauthorized assignment as grounds for immediate termination for cause.

11. Death or Incapacity of Edge Audit Operator

Edge Audit is currently operated by a sole founder. In the event of the death or permanent incapacity of the operator, the following provisions apply:

  • All active Partner Agreements will be deemed terminated without cause effective on the date of death or incapacity. The 12-month wind-down commission provision under Section 12 (Termination Without Cause by Edge Audit) will apply, meaning partners will continue to receive commissions on their existing referred subscribers for 12 months from that date, subject to the platform remaining operational.
  • If the platform ceases operations before the 12-month wind-down period concludes, commission obligations cease at the point of platform closure. No further obligations will attach to the operator's estate beyond commissions already earned and cleared through the 60-day holding period at the date of closure.
  • The operator's legal representative or estate executor may, at their sole discretion, extend, transfer, or assign any or all Partner Agreements to a successor operator. Partners will be notified of any such transfer and given 30 days to confirm continuation or terminate their agreement.
  • Notification of the operator's death or incapacity will be provided by the legal representative or estate executor.

12. Modifications

Edge Audit reserves the right to modify the cookie window, payout terms, or any other aspect of this Agreement at any time with 30 days' notice via email.

Commission rate changes are subject to the following additional protections:

  • A minimum of 90 days' written notice is required before any commission rate change takes effect. This notice period may be shortened by mutual written agreement between Edge Audit and the Affiliate.
  • No commission rate reductions will take effect within the first 24 months of the date this Agreement is signed by the Affiliate, regardless of notice given. This protection applies on a per-partner basis from the individual agreement date.
  • Commission rate increases may take effect immediately upon notice, at Edge Audit's discretion.

Continued participation after the applicable notice period constitutes acceptance of the modified terms.

13. Limitation of Liability

Edge Audit's total liability to you under this Agreement shall not exceed the total commissions paid to you in the 3 months prior to the claim. We are not liable for indirect, incidental, or consequential damages.

14. Governing Law

This Agreement is governed by the laws of the jurisdiction in which Edge Audit is incorporated, without regard to conflict of law provisions.
